Montold Cap Adviser GmbH ("PULS", “BETA-PULS”, “we”, “us” and terms of similar meaning) provides this web site [www.pulsproject.com
] and the services provided by or through this web site and /or mobile application to you subject to these terms and conditions of use.
Montold Cap Adviser GmbH is a German limited liability company with business ID Amtsgericht (court) Charlottenburg HRB 193422 B and having its registered place of business at Tauentzienstraße 13, 10789 Berlin, Germany. PULS is a trade name of the Software product described below owned Montold Cap Adviser GmbH.
PULS is designed as an open banking platform for german small and medium businesses and provides three areas of services for its users:
Aggregation — ability to see all accounts of users' business accounts with German banks in one interface.
Analytics — notify users of important transactions (including via the mobile application) and/or events and changes in their bank accounts, breakdown of spendings and earnings and forecast of financial state of the users accounts in the future based on our proprietary methodology (Important notice - the functionality is not fully available in the current version and will be released in the future).
Finance management — ability to submit transactions by users to their respective banks via single interface.
Puls does not limits Users to connect their non business bank accounts, but the services are designed for the business users predominantly.
PULS frequently develops pre-release Beta versions of software functionality, not immediately available for public release, including modifications, enhancements, improvements, updates, additions, derivative works, documentation and related material (“BETA-PULS”).
PULS desires that the BETA-PULS be tested prior to a generally available commercial release.
Licensee wishes to serve as a Beta test site for such BETA-PULS and acknowledges the Beta Disclaimer:
THE BETA SOFTWARE LICENSED HEREUNDER IS BELIEVED TO CONTAIN DEFECTS AND A PRIMARY PURPOSE OF THIS BETA TESTING AGREEMENT IS TO OBTAIN FEEDBACK ON SOFTWARE PERFORMANCE AND THE IDENTIFICATION OF DEFECTS. LICENSEE IS ADVISED TO SAFEGUARD IMPORTANT DATA, TO USE CAUTION AND NOT TO RELY IN ANY WAY ON THE CORRECT FUNCTIONING OR PERFORMANCE OF THE BETA SOFTWARE AND/OR ACCOMPANYING MATERIALS.
When you sign up for an account you may specify one or more administrators. The administrators will have the right to configure the Services based on your requirements and manage end users in your account.
You are responsible for
i) ensuring confidentiality of your account password, ii) appointing competent individuals as administrators for managing your account, and iii) ensuring that all activities that occur in connection with your account comply with this Agreement.
You understand that BETA-PULS is not responsible for account administration and internal management of the Services for you.You are responsible for taking necessary steps for ensuring that your organisation does not lose control of the administrator accounts.
Personal Information and Privacy
1. Choose a strong alphanumeric password. For security reasons, we may refuse any password that isn’t strong enough to protect your Account.
2. Choose a password that is different from any other password you use; and change it on a regular basis.
3. Activate the 2-Step Verification and any other safety options we may provide in your Account settings.
4. Never share your Account details (username, password…) with anyone. We will never ask you to reveal your password.
5. Never authorize anyone to access and/or use your Account.
You agree to inform us as quickly as possible at firstname.lastname@example.org
of any unauthorised use of your username, password or other information of your Account and of any security violation involving the Services which comes to your attention.
You may provide access to app to authorized users (called Guest). An authorized user is someone designated by you via the Guest functionality available in BETA-PULS. Such authorized users may have access to your account information and perform various tasks as instructed by you.
Communications from PULS
The Service may include certain communications from BETA-PULS, such as service announcements, administrative messages and newsletters. You understand that these communications shall be considered part of using the Services. As part of our policy to provide you total privacy, we also provide you the option of opting out from receiving newsletters from us. However, you will not be able to opt-out from receiving service announcements and administrative messages.
As a service to our users, the site may contain links to third-party Web sites (“Third-Party Sites”) or third-party content (“Third-Party Content”) and may provide third-party services (“Third-Party Services”). You use Third-Party Sites, Third-Party Content (together, the “Third Party Materials”) or Third-Party Services at your own risk.
You acknowledge that such sites and services are completely independent of PULS and as we have no control over them, we accept no liability in respect of your use, ability or inability to use them or any of the content of such sites. In addition, we may at any time in our discretion and without notice to you, discontinue providing our API to such third party services.
Modification of Services
We do not guarantee that the Services will be available at all times, in all locations worldwide, and/or on all devices. We do not guarantee that we will continue to offer any Service for any minimum period of time.
We reserve the right to terminate all or part of the Services at any time. We reserve the right to modify the prices of the Services, including from a paid Service to a free-to-play one and vice versa. The new price applies only to orders placed after it has come into effect.
The users shall access the information stored using the Services for lawful purposes only and may not use such information for the purpose of committing or furthering fraudulent acts or for committing any acts that would give rise to both or either civil and criminal liability.
The users agree not to publish, post, upload, distribute, provide or enter any material or information that is illegal, unlawful or can be regarded as fraudulent, libelous, malicious, threatening, offensive, profane, obscene, fanning ethnic or racial tensions, immoral or any such information which any reasonable person would consider objectionable on grounds of good conscience.
Limitation of Liability
YOU AGREE THAT PULS SHALL, IN NO EVENT, BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, OR OTHER LOSS OR DAMAGE WHATSOEVER OR FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, COMPUTER FAILURE, LOSS OF BUSINESS INFORMATION, OR OTHER LOSS ARISING OUT OF OR CAUSED BY YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF PULS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. IN NO EVENT SHALL PULS’S ENTIRE LIABILITY TO YOU IN RESPECT OF ANY SERVICE, WHETHER DIRECT OR INDIRECT, EXCEED THE FEES PAID BY YOU TOWARDS SUCH SERVICE.
Suspension and Termination
We may suspend your user account or temporarily disable access to whole or part of any Service in the event of any suspected illegal activity, extended periods of inactivity or requests by law enforcement or other government agencies.
The customer may, at any time, close its BETA-PULS account and terminate this agreement by following the “Close your PULS Account” instructions found on your Account page.
Termination of user account will include denial of access to all Services, deletion of information in your user account such as your email address and password and deletion of all data in your user account.
Content of the online offer
The author declines responsibility for the relevance, correctness, completeness or quality of the information provided. Liability claims against the author based on damages of a material or immaterial nature, caused by the usage or non-usage of the information furnished or the use of incorrect and/or incomplete information are excluded on principle insofar as no intentional or gross negligence is attributable to the author. Offers and content furnished by the author are subject to alteration and non- binding. The author expressly reserves the right to change, add to, delete parts of the pages or the entire content without separate notice or to stop publication for a period of time or finally.
